The Securities and Futures Commission (SFC) will strengthen its targeted tools under the Securities and Futures (Stock Market Listing) Rules (SMLR).

The changes cover IPO cases and post-IPO matters. According to the SFC’s consultation conclusions, the aim is to improve regulatory efficiency and investor protection in Hong Kong’s listing market.

The proposals received general market support during the consultation.

The regulator will proceed with them after making certain clarifications and minor refinements to reflect respondents’ comments.

Subject to the legislative process, the SFC expects the amended SMLR and related amendments to the Securities and Futures Ordinance to take effect in the first quarter of 2027.

Under the amendments, the SFC may impose conditions on listing applicants that can continue to apply after listing.

It may also impose post-listing conditions on listed issuers. These conditions will serve as an alternative to immediate trading suspension. In addition, the amendments will streamline resumption procedures.

A new mechanism will introduce independent merits reviews through the Securities and Futures Appeals Tribunal.

These reviews will cover SFC decisions made under the SMLR, including those on conditions, trading suspension and resumption.

The mechanism is intended to strengthen procedural fairness and transparency.

“In line with our balanced and front-loaded regulatory approach, the enhanced toolkit would equip the SFC with more targeted and proportionate tools to address emerging risks before they cause harm to our markets, uphold market integrity and support quality growth,”

said Christina Choi, the SFC’s Executive Director of Corporate Finance.

The SFC will arrange for the gazetting of its notice on the SMLR amendments.

This will take place together with the Government’s notice on amendments to Schedule 8 to the Securities and Futures Ordinance.

Both notices will be tabled before the Legislative Council for negative vetting in the near future.
